Does contract act recognise sale of pledged good by pawnee to self?
In the landmark case of PTC India Financial Services Ltd vs. Venkateswarlu Kari (2022) Livelaw (SC) 475 the Supreme Court ruled that under Sections 176 and 177 of the Indian Contract Act 1872, a pawnee cannot sell pledged goods to themselves, as a sale is a bilateral contract requiring two distinct parties. The Court clarified that any "sale to self" is legally considered "conversion" rather than an "actual sale," meaning the pawnor’s right to redeem the property remains valid until a lawful sale to a third party occurs. This principle applies equally to dematerialized securities under the Depositories Act; merely recording a lender as the "beneficial owner" of pledged shares does not constitute a sale or extinguish the borrower's right to redeem. While the Court protected third-party buyers of listed shares from notice-related disputes to ensure market stability, it reaffirmed that a lender’s rights are limited to retaining the goods as security rather than claiming absolute ownership upon default.
