🚨 UAE Competition Law Update: Are Your Deals Ready?

The long-awaited Executive Regulations to the UAE Competition Law come into force on 30 July 2026, introducing a clearer and more structured merger control framework.

If your business is involved in M&A, joint ventures, or acquisitions, this is a key development.

Key changes include:
📌 Joint venture parties must jointly file for approval before implementation.
📌 Acquirers are responsible for filing in acquisition transactions.
📌 The Competition Department has 10 business days to confirm a notification is complete.
📌 Review period: 90 days, with a possible 45-day extension.
📌 More detailed information on competitive effects is now required.
📌 New procedures for competition complaints and settlements.

What does this mean in practice?

Transaction documents—including SPAs, JV agreements, and investment agreements—should be updated to include:
✔️ Competition approval as a condition precedent
✔️ Longstop dates that reflect the new review timeline
✔️ Clear allocation of responsibility for preparing and submitting merger filings

With the regulations finally in force, UAE merger control can no longer be treated as an afterthought. Businesses should review pending and upcoming transactions to ensure compliance before closing.

Is your next deal structured for UAE competition compliance?
