Section 152(6) & 152(7) of Companies Act, 2013 simplified! 📊⚖️
Board of Directors ki retirement aur re-appointment ko lekar hamesha confusion rehta hai? Save this post for quick revision! 📌
🔹 Section 152(6) — Retirement by Rotation
1️⃣ Who retires? Public company ke total directors mein se at least 2/3rd directors rotational hone chahiye.
2️⃣ Kitne retire honge? Har AGM mein in rotational directors ka 1/3rd retire hota hai.
3️⃣ Kaun pehle jayega? Jo sabse lamba samay board par bita chuka hai (FIFO - First In, First Out).
🔹 Section 152(7) — Re-appointment of Retiring Director
AGM mein vacancy ko fill karne ke liye retiring director ko re-appoint kiya ja sakta hai ya kisi naye person ko appoint kiya ja sakta hai.
Adjourned Meeting Rule: Agar AGM mein vacancy fill nahi hoti aur meeting adjourn ho jati hai, aur adjourned meeting mein bhi koi faisla nahi hota, to retiring director deemed to be re-appointed maan liya jata hai (kuch exceptions ko chhod kar).
💡 Note: Independent and Nominee Directors rotational directors ki calculation mein count nahi hote.
