Posting stuff like this makes me nervous. In my head I imagine people will say “Who does she think she is?” and if I fail at something, “See, that’s what she gets”. But I really have gone through so much to get to where I am today, and when I look at all the 💩 on social media I just think if I can pass some lessons on and be helpful to someone else, then I it’s worth it. That does not change because a tool happens to be convenient.

Aracor runs with 𝗭𝗲𝗿𝗼 𝗗𝗮𝘁𝗮 𝗥𝗲𝘁𝗲𝗻𝘁𝗶𝗼𝗻 by default and no persistence once a session ends, a policy Aracor holds by contract with the underlying model providers, not a default behavior of the models themselves. Every finding traces back to the clause it came from.

For the most sensitive live deals, you choose where processing happens: Aracor's managed environment, your own model-provider contract, or a fully isolated dedicated deployment.

A general-purpose assistant with legal tools attached still runs on an underlying model whose retention and training sit outside your control. Aracor's data policy is its own. That is a shorter answer to a counterparty who asks how their information was handled.

A counterparty sends back a scanned or marked-up PDF instead of the clean file everyone actually needs. Someone converts it by hand, rebuilds the redline, and hopes nothing shifted along the way. The risk is not the hour it takes. It is the change that does not survive the conversion, and nobody catches it before signing.

Aracor converts an incoming PDF into a clean Word document on its own, then produces the redline against it, changes marked in line and matched against the source draft rather than rebuilt from scratch by hand.

The hour that used to go to file conversion goes back to reading what the redline actually says, not to hoping the conversion caught everything.

A redline is still the negotiation stage of 𝗰𝗼𝗻𝘁𝗿𝗮𝗰𝘁 𝗹𝗶𝗳𝗲𝗰𝘆𝗰𝗹𝗲 𝗺𝗮𝗻𝗮𝗴𝗲𝗺𝗲𝗻𝘁. A change that disappears there does not stay contained to that stage. It shows up at signing.

The closing date was set before anyone had seen the full data room. New files land daily, sometimes overnight, a new contract, a litigation filing, an updated cap table. A checklist run on day one tells you what the room looked like on day one. It does not tell you what changed on day twelve.

Preferred stacks, participation rights, option pools, rebuilt from scratch, deal after deal, in a spreadsheet. Preference-stacking errors are easy to make and expensive to miss. The number that is wrong is money: who gets paid, and how much, at a given exit.

The redline that goes out under the firm's name reflects the firm's position, not whoever happened to draft it that week, and not what they remembered under deadline.

Redlining is the negotiation stage of 𝗰𝗼𝗻𝘁𝗿𝗮𝗰𝘁 𝗹𝗶𝗳𝗲𝗰𝘆𝗰𝗹𝗲 𝗺𝗮𝗻𝗮𝗴𝗲𝗺𝗲𝗻𝘁. Get it wrong, and every later stage inherits the mistake.
